1. Who we are and what these terms cover
This website and online store are operated by Baby Republic Limited, trading as Speks UK ("Speks UK", "we", "us" or "our"). Baby Republic Limited is a company registered in England and Wales under company number 09102861. Our registered office is Unit 10 Madingley Court, Chippenham Drive, Kingston, Milton Keynes, England, MK10 0BZ. Our VAT number is 203 1453 63.
These terms apply when you use speks.co.uk and when you place an order through our website. They explain how a contract is formed between you and us and set out the terms on which we supply products to consumers.
Please read these terms before ordering. By placing an order, you confirm that you accept them. Our Privacy Policy, Cookie Policy, Delivery Policy and Refund Policy also apply where relevant and are available through the links on our website.
If you are purchasing products wholly or mainly for business or resale, please contact us for our trade terms. These consumer terms are not intended to govern wholesale or other business-to-business purchases.
2. Contacting us
You can contact us at:
· Email: hello@speks.co.uk
· Telephone: 01908 803800
· Post: Speks UK, Baby Republic Limited, Unit 10 Madingley Court, Chippenham Drive, Kingston, Milton Keynes, MK10 0BZ.
If we need to contact you, we will use the email address, telephone number or postal address supplied with your order. References to "writing" in these terms include email.
3. Who may order
You must be at least 18 years old and legally capable of entering into a contract to place an order. You must provide accurate, complete and current contact, delivery and payment information.
Product age recommendations and safety warnings are shown on the relevant product page and packaging. Some Speks products contain high-powered magnets and are intended only for users aged 14 years and over. Always follow the age grading, warnings and instructions supplied with the particular product. Keep products that are not suitable for children away from children.
4. Products and website information
We take reasonable care to describe and display our products accurately. Product images are illustrative. Colours and appearance may vary slightly because of lighting, manufacturing tolerances and the display settings of your device. Packaging may differ from the packaging shown, provided the product itself is not materially different from its description.
All sizes, dimensions and measurements are approximate unless we state otherwise. Availability information is an indication only and may change before your order is accepted.
We may change a product to reflect changes in law, safety requirements or minor technical improvements, provided this does not materially affect its main characteristics or your use of it.
5. Placing an order and formation of the contract
When you submit an order, you are offering to buy the products in your basket. The automated acknowledgement that we have received your order does not mean that we have accepted it.
A contract is formed only when we send you an email confirming that the products have been dispatched (the "Dispatch Confirmation"). If products from the same order are dispatched separately, a separate contract is formed for each dispatch when we send the relevant Dispatch Confirmation.
We may decline or cancel an order before dispatch, for example if:
· the product is unavailable;
· we cannot authorise your payment;
· we cannot deliver to the address supplied;
· you are not eligible to buy the product;
· the order exceeds a stated quantity limit or appears to be for unauthorised resale; or
· there is an obvious error in the product description or price that a reasonable customer would have recognised.
If we cannot accept your order, we will tell you and refund any amount already taken for the affected products.
6. Prices and payment
Prices are shown in pounds sterling and include UK VAT at the applicable rate unless we clearly state otherwise. Delivery charges are shown separately before you submit your order.
We may change prices at any time, but changes will not affect an order that we have already accepted. If the VAT rate changes between your order date and the date we supply the product, we may adjust the VAT element unless you have already paid in full.
We try to ensure that prices are correct. If we discover an obvious pricing error before dispatch, we may cancel the affected order and refund you, or contact you to ask whether you wish to proceed at the correct price.
You must pay using one of the payment methods offered at checkout. Payment may be taken when you place the order, even though the contract is not formed until dispatch. If we do not accept the order, we will refund the payment.
Discount codes and promotions may be subject to separate conditions. Unless stated otherwise, they cannot be exchanged for cash, applied retrospectively or combined with another offer.
7. Delivery
Available delivery destinations, charges and estimated delivery times are shown at checkout or in our Delivery Policy. Delivery dates are estimates unless we expressly agree a guaranteed date with you.
We will deliver without undue delay and, unless a different period is agreed with you, no later than 30 days after the contract is formed.
We are responsible for the products until they are delivered into your physical possession or the possession of a person you have identified to receive them. If you arrange your own carrier and that carrier was not offered by us, responsibility passes to you when the products are delivered to that carrier.
If delivery is delayed by an event outside our reasonable control, we will contact you as soon as reasonably possible and take steps to minimise the delay. Your statutory rights, including any right to cancel because of serious delay, are not affected.
Please ensure the delivery address is complete and accurate. We are not responsible for delay or non-delivery caused by incorrect information supplied by you, although we will try to help resolve the problem. Additional reasonable delivery costs may apply if a parcel must be resent because the address was incorrect or delivery was unreasonably refused.
8. Ownership and responsibility
You own a product once we have received payment in full. Responsibility for loss or damage passes to you only on delivery as described in section 7.
9. Your right to cancel an online order
For most products bought online, you have a legal right to change your mind and cancel the contract without giving a reason. The cancellation period begins when the contract is formed and ends 14 days after the day on which you, or a person nominated by you, receives the product. If a single order is delivered in separate instalments, the period ends 14 days after receipt of the last instalment.
To cancel, you must make a clear statement before the cancellation period ends. You can email hello@speks.co.uk or use any cancellation form made available through our Refund Policy. Please provide your name, order number, delivery address and details of the products being cancelled.
You must return cancelled products within 14 days after telling us that you wish to cancel. Unless the product is faulty, not as described, or we agree otherwise, you are responsible for the direct cost of returning it. Return instructions and the return address are set out in our Refund Policy.
You may inspect a product as you could reasonably do in a shop. We may reduce your refund to reflect any loss in value caused by handling beyond what is necessary to establish the product's nature, characteristics and functioning.
We will refund the price paid and the cost of our least expensive standard delivery option. We do not have to refund any additional amount paid for premium or expedited delivery. We will make the refund using the original payment method unless agreed otherwise and will not charge a refund fee.
We may withhold the refund until we receive the returned products or you provide evidence that you have sent them back, whichever happens first. We will issue the refund without undue delay and no later than 14 days after that point.
The statutory right to cancel may not apply to products made to your specifications or clearly personalised, sealed goods that are not suitable for return for health-protection or hygiene reasons once unsealed, or any other category excluded by law. Any relevant exception will be identified before purchase.
10. Faulty, damaged or incorrectly supplied products
We are under a legal duty to supply products that conform to the contract. Products must be as described, of satisfactory quality and fit for any particular purpose made known to us. Nothing in these terms limits your statutory rights.
If a product is faulty, damaged on arrival, misdescribed or incorrectly supplied, please contact us promptly at hello@speks.co.uk with your order number and, where helpful, photographs of the product and packaging.
Depending on the circumstances and the time since delivery, you may be entitled to reject the product for a refund or require a repair or replacement. We will pay the reasonable return costs where the product does not conform to the contract.
Your cancellation rights in section 9 are separate from, and additional to, your rights where a product is faulty or not as described.
11. Returns that are not required by law
Any goodwill return or exchange offered beyond your legal rights is governed by our Refund Policy. A goodwill policy does not affect your statutory rights.
12. Product safety and recalls
Please read and retain all warnings and instructions supplied with the product. Do not use a product if it is damaged in a way that may make it unsafe.
If we issue a product-safety notice or recall, you must follow the instructions provided and stop using the product where directed. Contact us if you believe a product is unsafe or if a magnet or other component has been swallowed or inserted. Seek urgent medical attention in accordance with the warning supplied with the product.
13. Our responsibility to you
We are responsible for losses you suffer that are a foreseeable result of our breach of these terms or our failure to use reasonable care and skill. Loss is foreseeable if it is an obvious consequence of our breach or if both you and we knew, when the contract was formed, that it might happen.
We do not exclude or limit liability where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, defective products under applicable product-liability law, and breach of rights that cannot lawfully be excluded under the Consumer Rights Act 2015.
We supply products for domestic and private use. If you use them for a commercial, business or resale purpose, we are not liable under these consumer terms for loss of profit, loss of business, business interruption or loss of business opportunity.
We are not responsible for loss caused by your failure to follow product warnings or instructions, except to the extent that the loss was also caused by our breach of duty.
14. Website use
You may use the website for lawful personal use. You must not misuse the website, attempt to gain unauthorised access to it, introduce malicious code, interfere with its operation, use it fraudulently, scrape or extract its content at scale without permission, or use it in a way that infringes another person's rights.
We may suspend, withdraw or restrict access to all or part of the website for operational, security or legal reasons. We will try to give reasonable notice where practicable. We do not guarantee that the website will always be available or free from errors.
15. Intellectual property
The website and its content, including text, photographs, graphics, videos, product names, logos, trade marks and designs, are owned by or licensed to Baby Republic Limited and are protected by intellectual-property laws.
You may view the website and print or download reasonable extracts for your personal, non-commercial use. You must not reproduce, adapt, distribute, commercially exploit or remove rights notices from website content without the prior written permission of the relevant rights owner.
16. Reviews and other content you submit
If you submit a review, image, comment or other content, you confirm that it is accurate, reflects your genuine experience where relevant, is not unlawful or misleading, does not infringe anyone else's rights, and does not contain malicious code or personal information that you are not entitled to disclose.
You retain ownership of your content but grant us a non-exclusive, worldwide, royalty-free licence to use, reproduce, edit for length or formatting, publish and display it in connection with our website, products and marketing. We may moderate or remove content that breaches these terms or applicable law. We will identify incentivised reviews where required by law.
17. Third-party services and links
Our website is hosted using Shopify and may use payment providers, delivery providers and other third-party services. Purchases from this store are made from Baby Republic Limited, not Shopify.
The website may contain links to third-party websites. We are not responsible for their content, availability or privacy practices. A link does not necessarily mean that we endorse the third party.
18. Personal information
We process personal information in accordance with our Privacy Policy and Cookie Policy. These explain what information we collect, why we use it, who we share it with, how long we keep it and the rights available to you.
19. Events outside our control
We are not responsible for a failure or delay caused by an event outside our reasonable control. If such an event materially affects an accepted order, we will contact you and take reasonable steps to reduce the effect. If there is a substantial delay, you may contact us to cancel and receive a refund for products you have paid for but not received.
20. Changes to these terms
We may update these terms to reflect changes in law, regulation, our products or the operation of our website. The terms in force when your order is accepted will apply to that order. The latest version and its update date will be published on this page.
21. Other important terms
We may transfer our rights and obligations under these terms to another organisation, but this will not reduce your rights. You may transfer your rights only with our written agreement, except that you may transfer a guarantee to a person who acquires the product where the guarantee permits this.
The contract is between you and us. No other person has a right to enforce it, except a person to whom rights have validly been transferred.
If any provision is found unlawful or unenforceable, the remaining provisions will continue in effect. A delay in enforcing a right does not waive that right.
22. Governing law and disputes
These terms and any contract between you and us are governed by English law. If you live in England or Wales, the courts of England and Wales will have jurisdiction. If you live in Scotland, you may bring proceedings in Scotland or England. If you live in Northern Ireland, you may bring proceedings in Northern Ireland or England. You may also benefit from mandatory protections under the law of the part of the United Kingdom in which you live.
Please contact us first if you have a complaint so that we can try to resolve it. Email hello@speks.co.uk or write to the address in section 2.
